1. Acceptance of Terms

By creating an account or using any part of the Vigil platform (vigil.ai), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using Vigil on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

2. Description of Service

Vigil is an AI-powered SEO monitoring and analysis platform designed for digital marketing agencies. The service connects to third-party data sources including Google Analytics 4 (GA4), Google Search Console (GSC), and Ahrefs via read-only API integrations to provide:

• Continuous, automated SEO monitoring across client portfolios
• AI-driven analysis and anomaly detection
• Automated alerts delivered via Slack and email
• On-demand, data-backed reports generated in Google Docs format
• Conversational AI interface for querying client SEO data

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.

3. Account Registration & Security

To use Vigil, you must create an account with accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@joinvigil.co if you suspect unauthorised access to your account.

4. Subscription & Billing

Vigil offers a 7-day free trial for new accounts. No credit card is required to start your trial. At the end of the trial period, you must select a paid subscription plan to continue using the service.

Subscriptions are billed monthly in advance. All fees are quoted in US Dollars and are non-refundable except where required by applicable law. We use Stripe as our payment processor.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. We reserve the right to change pricing with 30 days' written notice.

5. Acceptable Use

You agree to use Vigil only for lawful purposes and in accordance with these terms. You must not:

• Use the service to violate any applicable law or regulation
• Attempt to gain unauthorised access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell or redistribute access to the service without written authorisation
• Interfere with or disrupt the integrity or performance of the service

6. Data & Privacy

Vigil accesses your third-party accounts (GA4, GSC, Ahrefs) via read-only API connections. We do not modify, delete, or write data to any connected service. Your data is processed in accordance with our Privacy Policy.

You retain full ownership of your data. We process it solely to provide the service and do not sell, rent, or share your data with third parties for their marketing purposes.

7. Intellectual Property

All rights, title, and interest in the Vigil platform, including its software, AI models, user interface, and documentation, are owned by Braveheart L.L.C-FZ.

Reports and analyses generated by Vigil using your data are yours to use for your business purposes. However, the underlying technology and methodologies remain our exclusive property.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Braveheart L.L.C-FZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Our total aggregate liability shall not exceed the amount you paid to Vigil in the twelve (12) months preceding the claim. The service is provided “as is” without warranties of any kind.

9. Termination

You may terminate your account at any time by cancelling your subscription and contacting us at support@joinvigil.co. Upon termination, we will delete your stored data within 30 days unless retention is required by law.

We may suspend or terminate your account if you breach these terms, engage in fraudulent activity, or if required by law.

10. Governing Law

These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC).
